Provider Pilot Agreement
Last Updated: September 26, 2026
This Provider Pilot Agreement (“Agreement”) is between BidMyFix Inc., operating as BidMyFix (“BidMyFix,” “Platform,” “we,” “us”), and the automotive repair business accepting this Agreement (“Provider”).
This Agreement applies to participation in the initial BidMyFix pilot program.
A shop accepts this Agreement when it creates a BidMyFix provider account and checks the agreement box at signup; no separate paper signature is required during the pilot.
1. Purpose of BidMyFix
BidMyFix operates an online marketplace designed to connect vehicle owners seeking automotive repair or maintenance services with independent automotive repair businesses.
Through the Platform, customers may submit information regarding requested services and participating Providers may respond with quotes, estimates, questions, availability or other service information.
BidMyFix facilitates the connection between customers and Providers. Unless expressly stated otherwise in writing, BidMyFix does not itself perform automotive repairs, inspections, diagnostics or maintenance services.
2. Independent Business Relationship
The Provider operates as an independent business.
Nothing in this Agreement creates an employment, partnership, joint-venture, franchise, agency or similar relationship between BidMyFix and the Provider.
The Provider remains responsible for its own:
- employees and contractors;
- payroll and employment obligations;
- business expenses;
- tools and equipment;
- licences and certifications;
- insurance;
- taxes;
- workplace safety obligations;
- repair procedures and methods; and
- compliance with applicable laws.
BidMyFix does not guarantee any minimum number of customer requests, jobs, revenue or earnings.
3. Provider Responsibility for Repairs
The Provider is solely responsible for determining whether it is qualified and legally permitted to perform any service it accepts.
The Provider is responsible for the diagnosis, estimate, repair recommendation, workmanship, parts selection, labour, safety and completion of each repair performed by it.
Any repair agreement arising from a customer accepting a Provider's offer is between the Provider and customer, subject to applicable law.
BidMyFix is not a party performing the automotive repair.
4. Quotes and Estimates
Providers must provide customers with accurate and honest information regarding:
- proposed repair work;
- labour;
- parts;
- taxes;
- diagnostic fees;
- additional charges;
- expected completion time; and
- any material limitations or conditions applying to the proposed service.
A Provider must not intentionally submit misleading or artificially low quotes for the purpose of winning a customer and later increasing the price.
Providers must comply with all applicable Ontario requirements regarding automotive repair estimates, customer authorization and changes to repair costs.
If additional repairs or costs become necessary, the Provider must obtain any customer authorization required by law before completing or charging for the additional work.
5. Customer Authorization
Providers are responsible for obtaining legally sufficient authorization before performing chargeable work.
The Platform may provide electronic tools to help document customer approvals, but those tools do not transfer the Provider's legal obligations to BidMyFix.
Providers should maintain appropriate records of estimates, customer approvals, revisions and invoices.
6. Provider Qualifications
The Provider represents that it:
- operates a legitimate automotive repair business;
- possesses all licences, registrations, certifications and permits required for the services it performs;
- uses appropriately qualified personnel;
- complies with applicable consumer protection, occupational health and safety and environmental requirements; and
- will promptly notify BidMyFix if any material licence, registration or qualification is suspended or revoked.
BidMyFix may request supporting documents as part of Provider onboarding or periodic verification.
7. Insurance
The Provider is responsible for maintaining insurance reasonably appropriate to the services it performs, including applicable commercial liability and automobile-related coverage.
BidMyFix may require evidence of insurance as a condition of participation.
The Provider must promptly notify BidMyFix if required coverage expires, is cancelled or materially changes.
8. Customer Property and Vehicles
The Provider is responsible for reasonable care of customer vehicles, keys and other property while they are in the Provider's custody or control.
The Provider is responsible for damage caused by its employees, representatives, equipment or repair activities, subject to applicable law.
9. Payments During Pilot
Unless BidMyFix specifically introduces an integrated payment feature, customers will pay Providers directly for repair services during the initial pilot.
The Provider is responsible for:
- issuing required invoices;
- collecting applicable taxes;
- processing customer payments;
- issuing Provider-approved refunds; and
- maintaining appropriate accounting records.
BidMyFix will not hold repair funds during this pilot unless specifically agreed otherwise.
10. BidMyFix Fees
During the initial pilot, BidMyFix does not charge Providers any fee for referrals, jobs, or use of the Platform.
Any applicable Platform fee introduced in the future will be disclosed before it applies, and this Agreement will be updated accordingly.
11. Customer Complaints
Providers agree to respond reasonably and promptly to complaints relating to services they performed.
BidMyFix may assist in communication between the Provider and customer, but participation in that process does not mean BidMyFix accepts responsibility for the underlying repair.
Providers agree to cooperate reasonably with BidMyFix when investigating:
- customer complaints;
- allegations of unsafe work;
- inaccurate quotes;
- suspected fraud;
- billing disputes;
- property damage; or
- serious service issues.
12. Workmanship and Warranties
The Provider is responsible for any warranties it offers or is legally required to provide.
The Provider must clearly communicate applicable warranty conditions to the customer.
BidMyFix does not independently provide a warranty on Provider workmanship unless BidMyFix expressly introduces and describes a separate Platform guarantee.
13. Reviews
BidMyFix does not currently operate its own in-platform customer review system. Where ratings are shown on the Platform today, they come from third-party services (such as Google), not from reviews collected directly by BidMyFix.
If BidMyFix introduces its own review or rating feature, Providers must not:
- create fake customer reviews;
- compensate customers for misleading reviews;
- impersonate customers;
- manipulate ratings;
- retaliate against customers for legitimate negative reviews; or
- pressure customers to remove truthful feedback.
BidMyFix may remove reviews that violate Platform policies or applicable law.
14. Customer Information
Customer information received through BidMyFix may only be used for legitimate purposes connected with the customer's requested automotive service.
Providers must not sell customer information or use it for unrelated marketing without lawful authority and appropriate consent.
Providers must take reasonable steps to protect customer information against unauthorized access, disclosure, loss or misuse.
15. Off-Platform Conduct
During the pilot, BidMyFix may allow customers and Providers to communicate directly where necessary to inspect vehicles and arrange services.
However, Providers must not misuse information obtained through BidMyFix for fraud, harassment, unsolicited marketing or other improper purposes.
BidMyFix may later introduce reasonable rules regarding circumvention of Platform fees.
16. Prohibited Conduct
Providers must not use BidMyFix to:
- misrepresent qualifications;
- engage in fraudulent activity;
- submit intentionally deceptive quotes;
- perform unlawful services;
- engage in discriminatory or abusive conduct;
- compromise Platform security;
- misuse customer information;
- manipulate reviews;
- impersonate another business or person; or
- engage in conduct that creates a material safety risk.
17. Suspension and Removal
BidMyFix may suspend or remove a Provider from the Platform where reasonably necessary because of:
- suspected fraud;
- serious customer complaints;
- safety concerns;
- expired or invalid qualifications;
- misuse of customer information;
- repeated violations of Platform rules; or
- other conduct reasonably believed to threaten users or the Platform.
Where appropriate, BidMyFix may investigate before making a final decision.
18. Platform Availability
BidMyFix is an early-stage platform and may experience interruptions, errors or changes during the pilot.
BidMyFix does not guarantee that the Platform will always be available or that customer requests will generate work for Providers.
19. Intellectual Property
BidMyFix retains ownership of its Platform, branding, software, database structure, website content and other intellectual property belonging to BidMyFix.
Participation in the Platform does not transfer ownership of BidMyFix intellectual property to the Provider.
The Provider retains ownership of its own business names, logos and materials.
The Provider grants BidMyFix permission to display Provider information reasonably necessary to operate and promote the marketplace while the Provider participates.
20. Confidentiality
Each party agrees to protect non-public business information received from the other party and not use it for unrelated purposes.
This provision does not prevent disclosure required by law.
21. Responsibility and Indemnification
Each party remains responsible for its own acts and omissions.
To the extent permitted by applicable law, the Provider agrees to be responsible for claims arising from:
- repairs performed by the Provider;
- Provider workmanship;
- Provider personnel;
- Provider violations of law;
- damage caused while a customer vehicle is under Provider control;
- Provider misrepresentations; or
- Provider misuse of customer information.
22. Termination
Either party may end participation in the pilot by providing written notice.
Termination does not eliminate obligations relating to:
- completed or accepted jobs;
- outstanding customer complaints;
- amounts already owed;
- confidentiality;
- privacy obligations; or
- conduct occurring before termination.
23. Changes to the Pilot
BidMyFix may modify features, procedures and pilot rules as the service is developed.
Material contractual changes will be communicated to participating Providers.
24. Governing Law
This Agreement is governed by the laws of Ontario and the applicable federal laws of Canada.
25. Entire Pilot Understanding
This Agreement and any expressly incorporated BidMyFix policies describe the Provider's participation in the pilot.
Before BidMyFix moves beyond the controlled pilot phase, the parties may be required to accept an updated commercial Provider Agreement.
